1. Your agreement with us
These Terms are a binding agreement between you and roundtableml, Inc. (“wdyt,” “we,” “us,” or “our”) governing wdyt.page and its pages, accounts, APIs, skills, agent integrations, and related services (the “Service”). By accessing or using the Service, creating an account or page, contributing to a page, or instructing an agent to use the Service, you agree to these Terms and acknowledge our Privacy Policy.
If you use wdyt for a company or other organization, you represent that you have authority to bind it, and “you” includes that organization. If you do not agree, do not use the Service.
You must be at least 18 years old, have reached the age of legal majority where you live, and be legally capable of entering this agreement. wdyt is intended for business and professional collaboration, not for children.
2. What wdyt provides
wdyt is a technology service for hosting and reviewing user-directed HTML artifacts. It lets people and software agents create pages, render HTML in a constrained browser environment, comment, draw, edit supported fields, download content, and upload versions.
wdyt is not the author, editor, publisher, employer, agent, partner, or professional adviser of users or their agents. We do not approve, endorse, verify, or guarantee User Content, comments, generated output, advice, calculations, links, or decisions made from them. You must independently review anything important before relying on it.
Free limits, features, retention, and availability may change. We may modify, limit, suspend, discontinue, or introduce paid versions of any part of the Service. We do not promise that a free feature or page will remain available.
3. Public-by-link pages
A wdyt review URL is an access credential. Anyone with it may be able to view, download, comment, draw, rename, or upload versions. Public-by-link does not mean private, confidential, encrypted end-to-end, or access-controlled.
You are responsible for deciding who receives a link and whether the Service is appropriate for your content. Do not upload trade secrets, credentials, security keys, confidential client material, personal information you lack authority to disclose, or data subject to special regulatory or contractual controls.
Free pages ordinarily remain active for 14 days and may be archived for up to 90 additional days before scheduled deletion. Limits currently include 4 MB per HTML version and 10 versions per page. These are service limits, not storage or backup guarantees. Export anything you need before expiry. We may delete content earlier when required by law, security, abuse prevention, operational necessity, or these Terms.
4. Accounts, agents, and link security
You must provide accurate account information, keep your authentication methods and review links secure, and promptly tell us about suspected unauthorized use. You are responsible for activity performed through your account, links you distribute, and agents or automated tools you authorize, except to the extent caused by our breach of a non-waivable legal duty.
An agent acts at the direction of the person or organization operating it—not for wdyt. You are responsible for reviewing its actions, including uploads, comments, code, external references, and use of wdyt APIs. Do not attempt to bypass page limits, authentication, rate limits, sandbox restrictions, or other security controls.
5. Your content and responsibilities
“User Content” includes HTML, text, code, images, data, titles, comments, replies, drawings, editable-field values, names, and anything else submitted through the Service. As between you and wdyt, you retain your ownership rights in User Content.
You grant wdyt a worldwide, non-exclusive, royalty-free, transferable and sublicensable license to host, store, cache, reproduce, technically modify, render, transmit, display, and otherwise process User Content only as reasonably necessary to provide, secure, maintain, troubleshoot, and improve the Service; follow your instructions; enforce these Terms; and comply with law. This license lasts while the content is stored and for the limited time it remains in backups, legal records, or abuse-prevention records.
You represent and warrant that:
- you own User Content or have all rights, permissions, notices, and consents required to submit and share it through the Service;
- User Content and your instructions do not violate law, contract, confidentiality, privacy, publicity, intellectual-property, or other rights;
- you will not use wdyt as the system of record or sole backup for important content; and
- you are solely responsible for User Content, the people or agents you invite, and consequences of publishing or relying on the content.
We may generate aggregate or de-identified service information that does not reasonably identify a person or reveal User Content, and use it to operate, secure, analyze, and improve wdyt. We do not use User Content to train general-purpose AI models.
If you voluntarily send product ideas or feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free right to use and commercialize that feedback without restriction or compensation. Do not send feedback you consider confidential.
6. Acceptable use
You may not use or help others use the Service to:
- break any law or facilitate fraud, deception, impersonation, harassment, threats, exploitation, discrimination, or harm;
- upload or distribute content that infringes intellectual-property, privacy, publicity, confidentiality, contractual, or other rights;
- exploit or endanger minors, or host child sexual abuse material, non-consensual intimate imagery, sexual services, or unlawful sexually explicit content;
- publish another person’s sensitive or identifying information without a lawful basis and appropriate authority;
- host malware, phishing, credential collection, deceptive downloads, malicious scripts, denial-of-service tools, spam, surveillance, or unauthorized security testing;
- access, scrape, probe, interfere with, or burden the Service or another user’s page beyond ordinary use and documented APIs;
- bypass access controls, discover or guess review links, evade limits, conceal malicious activity, or help others do so;
- use the Service for high-risk decisions or as a substitute for legal, medical, financial, safety, employment, credit, housing, insurance, or other professional judgment;
- upload payment-card data, protected health information, government identifiers, passwords, API keys, biometric templates, precise-location histories, or other regulated or highly sensitive data; or
- misrepresent affiliation with wdyt, resell the Service without permission, or remove proprietary notices.
We may investigate suspected violations and remove or restrict content, links, accounts, agents, or access when we reasonably believe it is necessary to protect users, wdyt, third parties, or the public; comply with law; preserve evidence; or enforce these Terms. We are not required to monitor all User Content and do not assume responsibility for it merely because we can remove it.
7. Illegal-content, abuse, and rights reports
Report unlawful or harmful content to naveh@jyper.ai. To let us identify and assess the material without a broad investigation, include:
- your name and email address, unless a law permits an anonymous notice;
- the exact wdyt review URL and, if relevant, the version or comment;
- a clear explanation of why the specific material is illegal, harmful, or violates rights or these Terms;
- supporting evidence or the legal right involved; and
- a good-faith statement that the report is accurate, plus your electronic or physical signature where appropriate.
We may request clarification, preserve relevant records, restrict access while reviewing, notify the person who supplied the content, provide a statement of reasons where required, and disclose notices or counter-notices as necessary to process them. We may reject abusive, bad-faith, vague, or materially incomplete reports.
Copyright notices and counter-notices
If you own copyright or are authorized to act for the owner, send a written notice with the subject “wdyt Copyright Notice” containing: your signature; identification of the copyrighted work; the exact location of the allegedly infringing material; your name, address, phone number, and email; a good-faith statement that the use is not authorized by the owner, its agent, or law; and a statement under penalty of perjury that the notice is accurate and you are authorized to act.
A person whose material was removed may submit a counter-notice identifying the removed material and its prior location, stating under penalty of perjury that removal resulted from mistake or misidentification, and providing their signature, name, address, phone number, consent to the jurisdiction required by 17 U.S.C. §512, and agreement to accept service from the complaining party. We may forward it and restore access where the law permits or requires.
wdyt may terminate accounts and block users, agents, or links that repeatedly infringe rights or repeatedly submit unlawful content. Knowingly making material misrepresentations in a copyright notice or counter-notice may create liability.
8. Third-party services and content
The Service relies on or may link to third parties such as Clerk, Vercel, Neon, Google, and GitHub. Their services, availability, security, and terms are outside our control. wdyt is not responsible for third-party services, websites, content, or privacy practices. Your use of them may be governed by separate agreements.
9. wdyt property
The Service, including its software, design, branding, documentation, templates, and system-generated technology, is owned by roundtableml, Inc. or its licensors and is protected by applicable laws. Except for the limited right to use the Service under these Terms, no rights are transferred to you. Open-source components remain governed by their licenses.
10. No warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” wdyt AND ITS AFFILIATES, LICENSORS, AND SERVICE PROVIDERS DISCLAIM ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
We do not warrant that the Service or User Content will be uninterrupted, secure, accurate, complete, compatible, preserved, recoverable, free from harmful code, or suitable for your purpose; that defects will be corrected; or that links, archives, versions, exports, comments, drawings, agents, or third-party services will remain available. You assume the risk of using, sharing, downloading, executing, or relying on User Content.
Nothing in these Terms excludes a warranty or consumer right that cannot lawfully be excluded.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, wdyt AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES; LOST PROFITS, REVENUE, BUSINESS, GOODWILL, OR DATA; BUSINESS INTERRUPTION; COST OF SUBSTITUTE SERVICES; OR DAMAGES ARISING FROM USER CONTENT, PUBLIC LINKS, UNAUTHORIZED ACCESS, THIRD-PARTY SERVICES, OR LOSS OR EXPIRY OF A PAGE, EVEN IF ADVISED OF THE POSSIBILITY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THEIR TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF US$100 OR THE AMOUNT YOU PAID wdyt FOR THE SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
These limitations apply regardless of the legal theory and even if a remedy fails of its essential purpose. They do not limit liability that cannot lawfully be limited, including where applicable liability for fraud, willful misconduct, or death or personal injury caused by negligence.
12. Indemnity
To the extent permitted by law, you will defend, indemnify, and hold harmless wdyt and its affiliates, officers, directors, employees, agents, licensors, and service providers from claims, losses, liabilities, damages, judgments, penalties, costs, and reasonable legal fees arising from or related to your User Content; your use of the Service, links, agents, or third-party services; your breach of these Terms; or your violation of law or another person’s rights. We may control the defense and settlement of a covered claim, and you will reasonably cooperate. You may not settle a claim imposing liability or obligations on us without our written consent.
13. Suspension and termination
You may stop using the Service at any time. Signed-in creators can delete eligible pages through “My pages” and may request account deletion.
We may suspend, restrict, or terminate access; block a link, account, IP address, or agent; remove content; or refuse service immediately when reasonably necessary for security, legal compliance, operational integrity, nonpayment, risk to others, or a suspected violation of these Terms. Where practical and lawful, we may give notice and an opportunity to appeal. Sections that by their nature should survive termination—including ownership, licenses needed for retained records, disclaimers, liability limits, indemnity, dispute terms, and enforcement provisions—will survive.
14. Governing law and disputes
These Terms and disputes arising from them or the Service are governed by Delaware law, without regard to conflict-of-law rules. Subject to any mandatory consumer forum rights, the state and federal courts located in Delaware will have exclusive jurisdiction, and you and wdyt consent to personal jurisdiction there.
Before filing a claim, each party agrees to send the other a written description of the dispute and requested relief and make a good-faith effort to resolve it for at least 30 days. This does not prevent either party from seeking urgent injunctive relief or using an applicable small-claims process.
15. Changes
We may update these Terms by posting a revised version and changing the date above. Material changes will receive additional notice where required. Unless a later date is stated, changes take effect when posted. Continuing to use the Service after changes take effect means you accept the revised Terms; if you do not agree, stop using the Service.
16. General terms
These Terms and the Privacy Policy are the entire agreement regarding the Service unless we sign a separate agreement with you. You may not assign these Terms without our written consent; we may assign them in connection with an affiliate, financing, merger, reorganization, or sale. No third party is a beneficiary. Failure to enforce a provision is not a waiver. If a provision is unenforceable, it will be limited to the minimum necessary and the rest will remain effective. Headings are for convenience. Electronic notices and signatures satisfy writing requirements where law permits. Neither party is liable for delay caused by events beyond its reasonable control.
